The UK’s Competition and Markets Authority (CMA) has granted approval for the acquisition of CWT by American Express Global Business Travel (Amex GBT), marking a significant development in the travel industry. The $570 million deal has been given the green light in the UK, although it still faces challenges in the US due to an antitrust lawsuit filed by the Department of Justice (DOJ).
In its statement, the CMA emphasized that CWT is facing financial challenges and is expected to weaken further in the future, making it less competitive in the market. The regulatory body concluded that the merger is not likely to substantially reduce competition in the global business travel agency services market and has therefore approved the acquisition. The independent panel of experts overseeing the investigation supported this decision after a thorough review of the evidence, highlighting the diminishing position of CWT and the presence of viable alternatives for customers.
The CMA’s final report highlighted CWT’s ongoing financial struggles and projected decline in business, indicating that competitors like BCD and Amex GBT are significantly stronger players in the market. The investigation also pointed out the competitive pressures faced by Amex GBT and CWT from other growing entities like FCM and CTM.
Amex GBT welcomed the CMA’s decision, expressing confidence in the benefits of merging with CWT and criticizing the DOJ’s lawsuit as flawed and outdated in its competition assessment. The legal officer of Amex GBT affirmed their readiness to defend the merger in court if necessary.
The journey towards the acquisition began last year, with the CMA launching an investigation and subsequently raising competition concerns that could potentially lead to increased prices for customers. Despite challenges and criticisms throughout the process, the CMA’s approval in the UK contrasts with the legal battle awaiting the merger in the US.
The evolving landscape of the travel industry, marked by mergers and regulatory scrutiny, underscores the complexities and competitiveness within the business travel sector. As Amex GBT and CWT navigate the regulatory landscapes in different jurisdictions, the outcome of their merger remains uncertain amidst legal and market challenges. The implications of this acquisition extend beyond the companies involved, shaping the future dynamics of the global business travel market.
